RIGHTS OF USE OF YOUR CONTENT AGREEMENT

This Agreement (“Agreement”) is between the Content Owner (as defined below) and Contiki Tours International Limited, Contiki Travel (Australia) Pty Ltd (ABN 78 002 441 849) (together referred to as “Contiki”).
This Agreement governs the use of multimedia content (collectively, “Content”) created and/or supplied by the Content Owner to Contiki, for all lawful purposes, subject to the terms and conditions set out below.


1.Definitions

Content Owner – the original creator and/or poster of content on Instagram, Facebook, Pinterest, Twitter/X, Threads, TikTok, YouTube, or any other social media platform who has, in connection with such social media activity:
Branded Hashtags and Usage – the Content Owner has used one or more of Contiki’s Branded Hashtags #Contiki or Contiki brand campaign hashtags; and/or tagged @contiki (or any official Contiki account); and/or replied to Contiki with the hashtag #YesContiki; and/or. Branded Hashtags include the hashtag #Contiki and/or a trip-specific hashtag or Contiki brand campaign hashtag as outlined in Contiki’s brochures, available at https://www.contiki.com/brochures.


and/or

  • directly shared or submitted Content to Contiki (including via direct message, email, upload portal, campaign submission, or other method of delivery); and/or
  • directly shared or submitted Content to six-two, Contiki’s editorial publication, whether via social media, direct message, email, submission form, or other editorial contribution process.

six-two – Contiki’s editorial publication and associated media channels, including but not limited to its website, digital platforms, social media channels, newsletters, and partner distribution channels.


2.Delivery

By: using one or more of Contiki’s Branded Hashtags #Contiki or Contiki brand campaign hashtags; and/or tagging @contiki (or any official Contiki account); and/or replying to Contiki with the hashtag #YesContiki; and/or directly submitting or sharing Content with Contiki; and/or directly submitting or sharing Content with six-two, the Content Owner agrees that the individual piece(s) of Content may be used by Contiki as described in this Agreement.


3.Usage

In the delivery or submission of Content, the Content Owner grants Contiki Tours International Limited, Contiki Travel (Australia) Pty Ltd and its affiliated brands (including six-two) a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, edit, adapt, publish, translate, create derivative works from, distribute, and display the Content in marketing, promotional, editorial, and commercial activities as defined below:


3.1 Purpose
: To authentically depict experiences on Contiki trips from the perspective of Contiki’s customers and community, including marketing, promotional, advertising, and editorial purposes.


3.2 Medium
: Content may be used across marketing and editorial channels in different forms of media, including but not limited to:

  • Websites (including https://www.contiki.com and six-two platforms)
  • Print materials
  • Social media platforms (including TikTok, Instagram, Facebook, Pinterest, Twitter/X, Threads, YouTube, and other current or future platforms), including both organic and paid activity
  • Paid advertising across social media platforms, including paid media spend, sponsored posts, boosted content, whitelisting, dark posts, and advertising amplification
  • Digital advertising (including display, programmatic, search, paid social advertising, and other online advertising formats)
  • Email marketing
  • Out-of-home advertising
  • Events
  • Editorial publications (including six-two)
  • Third-party platforms, media partners, distributors, licensors, agencies, and APIs


3.3 Period
: in perpetuity


3.4 Territory
: Worldwide


4. General Terms


The Content Owner confirms that:

  • They are the original creator of the Content and/or have full rights and permissions to grant the rights outlined in this Agreement.
  • The Content does not infringe upon the intellectual property, privacy, publicity, or other rights of any third party.
  • Any individuals appearing in the Content have granted appropriate consent for the Content to be used as outlined in this Agreement.
  • Where reasonably practicable, Content will be accompanied by the Content Owner’s social media username and the date the Content was originally posted.
  • The Content remains owned by the Content Owner. The Content Owner is granting Contiki Tours International Limited, Contiki Travel (Australia) Pty Ltd a non-exclusive licence to use the Content as described in this Agreement.

If a Content Owner chooses to revoke the rights granted to Contiki, they must contact Contiki in writing and include:

  • The piece of Content in question
  • A link, photograph, or screenshot of where the Content appears
  • Evidence that they are the original Content Owner

Contiki will make reasonable efforts to cease future use of the Content but cannot guarantee removal from materials already printed, published, scheduled, distributed, or used in paid advertising campaigns already in market.


By agreeing to this Agreement, the Content Owner waives any right to payment, compensation, or royalties for the use of the Content across all mediums and channels.


Severability. If one or more provisions contained in this Agreement are found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected. Such provisions shall be revised only to the extent necessary to make them enforceable.


This Agreement is subject to English law and the laws of Australia.
